AAJ CAPITAL 3 CORP. ANNOUNCES TERMINATON OF TRANSACTION

February 9, 2026 - AAJ Capital 3 Corp. (TSX-V: AAAJ.P) ("AAJ Capital" or the "Company") announces that further to its news releases dated May 19, 2025 and July 16, 2025, the definitive agreement entered into with XRP Healthcare M&A Holding Inc. with respect to the company's proposed qualifying transaction (as defined in the policies of the TSX Venture Exchange) has been mutually terminated by the parties.

The Company is in the process of seeking approval from the Exchange for the resumption of trading of the Company's common shares. The Company will continue to evaluate and review alternative acquisition opportunities with a view to completing its qualifying transaction.

About the Company

AAJ Capital is a capital pool company and it has not commenced commercial operations. The only business of AAJ Capital is the identification and evaluation of assets or businesses with a view to completing a "Qualifying Transaction" in accordance with Exchange Policy 2.4 - Capital Pool Companies.
