AAJ CAPITAL 3 CORP. ANNOUNCES TERMINATION OF TRANSACTION

Further to its news releases dated May 19, 2025 and July 16, 2025, the definitive agreement entered into with XRP Healthcare M&A Holding Inc. with respect to AAJ Capital 3 Corp.'s proposed qualifying transaction (as defined in the policies of the TSX Venture Exchange) has been mutually terminated by the parties.

The company is in the process of seeking approval from the exchange for the resumption of trading of the company's common shares. The company will continue to evaluate and review alternative acquisition opportunities with a view to completing its qualifying transaction.

AAJ Capital is a capital pool company and it has not commenced commercial operations. The only business of AAJ Capital is the identification and evaluation of assets or businesses with a view to completing a qualifying transaction in accordance with TSX-V Policy 2.4, Capital Pool Companies.
