Selected Balance Sheet Information:

September 30, 2026 vs. December 31, 2025

As of September 30, 2026, total assets were $596.1 million, a decrease of $20.6 million, or 3.3%, as compared to total assets of $616.7 million on December 31, 2025. The decrease can be attributed to our reductions in our borrowed funds and brokered deposits partially offset by our increase in non-interest deposits and a corresponding decrease in loans receivable of $26.4 million.

Loans receivable, net of Allowance for Credit Losses on Loans totaled $518.2 million, a decrease of $26.4 million or 4.9% from December 31, 2025. As of September 30, 2026, the Allowance for Credit Losses on Loans as a percentage of gross loans was 0.98%.

Nonperforming assets, which includes nonaccrual loans and foreclosed real estate were $4.9 million or 0.83% of total assets, as of September 30, 2026, decreasing from $5.9 million, or $958 thousand, from December 31, 2025. The ratio of nonaccrual loans to loans receivable, net was 0.95%, as of September 30, 2026, and 1.08% for December 31, 2025. The decrease from December 31, 2025, was primarily due to the payoff of one non-owner occupied commercial real estate loan in the first quarter of 2026.

Total liabilities decreased $23.3 million to $542.5 million at September 30, 2026, from $565.8 million at December 31, 2025. The decrease can be attributed to decrease in borrowed money of $13.6 million and a decrease in brokered deposits of $15.0 million, partially offset by an increase in non-interest deposits of $12.1 million.

As of September 30, 2026, the Bank's Tier 1 capital leverage ratio, common equity tier 1 capital ratio, Tier 1 capital ratio and total capital ratios were 10.35%, 15.62%, 15.62% and 16.87% respectively, all in excess of the ratios required to be deemed "well-capitalized." During the third quarter of 2026 the Company did not repurchase any shares. We have terminated our second stock repurchase plan. Book value per common share was $7.78 at September 30, 2026, compared to $7.34 at December 31, 2025. Tangible common book value per share (which represents common equity less goodwill, divided by the number of shares outstanding) was $7.69 at September 30, 2026, compared to $7.25 at December 31, 2025.

Financial Performance Overview:

Three Months Ended September 30, 2026, vs. June 30, 2026

For the three months ended September 30, 2026, the Company net income totaled $1.0 million, compared to a net income of 882 thousand for the three months ended June 30, 2026. The increase can be attributed to higher net interest income partially offset by higher income taxes.

Net interest income for the three months ended September 30, 2026 increase $148 thousand to $4.8 million, from $4.7 million in the June quarter despite the lower average loan balance during the current quarter. The Company’s net interest margin increased by 11 basis points to 3.21% for the three months ended September 30, 2026, as compared to 3.10% for the three months ended June 30, 2026. The increase in margin can be attributed to a decrease in interest expense on borrowings. Our subordinated debt repriced as of Jul 30, 2026, and adjusts quarterly at a margin of 579 basis points over the 3-month SOFR rate.

There was a $44 thousand reversal for credit losses taken for the three months ended September 30, 2026, compared to a $52 thousand reversal for credit losses for the three months ended June 30, 2026. The reversal for credit losses was due to reversal of the loan and investment allowance for credit losses due to the lower outstanding balances of each respective category.

Non-interest income increased $52 thousand, to $369 thousand for the three months ended September 30, 2026, compared with non-interest income of $317 thousand for the three months ended June 30, 2026. The majority of the increase can be attributed to higher service charges and fees on loans in the third quarter of 2026. We have not yet received the remaining ERTC installments for the 2021 tax year.

Non-interest expenses remained at $3.9 million for the three months ended September 30, 2026, and for the three months ended June 30, 2026. The largest fluctuations quarter over quarter were due to a $196 thousand increase in compensation and benefits, partially offset by a decrease of $106 thousand in professional fees and a $49 thousand decrease in marketing.
