G Mining Ventures Announces Normal Course Issuer Bid for Common Shares

BROSSARD, Quebec, Aug. 28, 2026 (GLOBE NEWSWIRE) -- G Mining Ventures Corp. (“GMIN” or the “Corporation”) (TSX: GMIN, OTCQX: GMINF) is pleased to announce that the Toronto Stock Exchange (the “TSX”) has accepted the Corporation’s Notice of Intention to make a normal course issuer bid (“NCIB”) to purchase, for cancellation, up to an aggregate of 7,537,688 common shares of GMIN (“Common Shares”), representing approximately 2.54% of the Corporation’s issued and outstanding Common Shares, being 296,306,236 Common Shares as of August 25, 2026. Purchases can me made at prevailing market prices during a 12-month period commencing on September 1st, 2026, and ending on the earlier of August 31, 2027, or the date on which the Corporation reaches the maximum purchases permitted under the NCIB.

GMIN believes that the establishment of the NCIB provides the Corporation with the flexibility to acquire Common Shares from time to time as an effective means of returning capital to shareholders in accordance with its corporate strategy.

Purchases under the NCIB will be made on the open market through the facilities of the TSX, other designated exchanges and/or alternative Canadian trading systems or by such other means as may be permitted by the applicable securities regulator, at the market price of the Common Shares at the time of the acquisition. The number of Common Shares that can be purchased pursuant to the NCIB is subject to a daily maximum of 188,191 Common Shares (*which is equal to 25% of the average daily trading volume of 752,765 Common Shares on the TSX for the full six calendar months ending July 31, 2026), subject to the Corporation’s ability to make one block purchase of Common Shares per calendar week that exceeds such limits. All Common Shares purchased under the NCIB will be cancelled after purchase. The Corporation intends to fund any purchases under the NCIB from its available working capital.

Outside of blackout periods, Common Shares may be purchased under the NCIB based on the discretion of GMIN’s management, in compliance with the rules of the TSX and applicable securities laws.

Although GMIN has the present intention to acquire its Common Shares pursuant to the NCIB, GMIN will not be obligated to make any purchases and purchases may be suspended by GMIN at any time. Decisions regarding any future purchases will depend on certain factors, such as market conditions, share price and other opportunities to invest capital for growth. GMIN has not purchased any Common Shares under a NCIB within the past 12 months.
