Each Unit consists of one common share and one-half of one common share purchase warrant (the “Warrant”).
Each Warrant is exercisable at $0.40 for a period of 12 months from the date of issuance. Warrants are subject to an acceleration clause whereby, if the volume-weighted average trading price of the Common Shares on the TSX Venture Exchange is at least $0.70 per Common Share for 10 consecutive trading days, the Company may, at its sole option, accelerate the expiry date of the Warrants to a date not less than twenty-one (21) days following notice of the accelerated expiry date by way of news release.

All securities issued in connection with the Final Tranche are subject to a statutory hold period expiring March 1, 2027.
Net proceeds are expected to be used to expand sales and marketing, increase inventory, advance technology and platform development, grow the Company's team, support international expansion, and for general working capital.
The Private Placement is subject to TSX Venture Exchange final approval.
