CONAGRA BRANDS REPORTS SECOND QUARTER RESULTS

CHICAGO, Dec. 19, 2025 /PRNewswire/ -- Today Conagra Brands, Inc. (NYSE: CAG) reported results for the second quarter of fiscal year 2026, which ended on November 23, 2025. All comparisons are against the prior year fiscal period, unless otherwise noted.

Highlights

  • Reported net sales decreased 6.8%; organic net sales decreased 3.0%.
  • Reported operating margin was (20.1)%; adjusted operating margin was 11.3%.
  • Reported diluted loss per share was $1.39, primarily as a result of certain non-cash goodwill and brand impairment charges, and adjusted earnings per share (EPS) were $0.45.

Total Company Second Quarter Results
In the quarter, net sales decreased 6.8% to $3.0 billion, reflecting:

  • a 3.9% decrease from the impact of M&A,
  • a 3.0% decrease in organic net sales, and
  • a 0.1% increase from the favorable impact of foreign exchange.

The 3.0% decrease in organic net sales was driven by flat price/mix and a 3.0% decrease in volume. Net sales were impacted by an approximately 100 basis point headwind driven by changes in retailer purchasing activity around quarter end, including timing of retailer merchandising events and associated inventory builds. In addition, price/mix was impacted by an approximately 60 basis point headwind related to a change in estimate associated with fiscal 2025's second quarter trade expense accrual as well as unfavorable product mix. In the quarter, the company gained overall volume share in its snacks categories, including gains in ready to eat popcorn, pudding, hot cocoa, and seeds, as well as other categories including refrigerated whipped toppings, frozen desserts, and frozen breakfast.

Gross profit decreased 17.8% to $696 million in the quarter and adjusted gross profit decreased 17.1% to $698 million as productivity was more than offset by lower net sales, the negative impact of cost of goods sold inflation, and lost profit from divested businesses. Gross margin decreased 313 basis points to 23.4% in the quarter, and adjusted gross margin decreased 292 basis points to 23.4%.

Selling, general, and administrative expense (SG&A), which includes advertising and promotional expense (A&P), decreased 23.6% to $325 million in the quarter and adjusted SG&A, which includes A&P, increased 2.9% to $362 million. A&P increased 7.2% to $74 million compared to the prior year period.  

In the quarter, the company incurred $968 million of non-cash goodwill and brand impairment charges primarily driven by a sustained decline in the company's share price and market capitalization.

Net interest expense was $96 million, an 11.2% decrease compared to the prior year period driven by a reduction in net debt.

The average diluted share count in the quarter was 479 million shares.

In the quarter, net loss attributable to Conagra Brands was $664 million, or $1.39 per diluted share primarily due to the goodwill and brand impairment charges outlined above. Adjusted net income attributable to Conagra Brands was $218 million, or $0.45 per diluted share.

Adjusted EBITDA, which includes adjusted equity method investment earnings and pension and postretirement non-service income, decreased 25.2% to $478 million in the quarter, primarily driven by the decrease in adjusted gross profit.

Grocery & Snacks Segment Second Quarter Results
Net sales for the Grocery & Snacks segment decreased 8.5% to $1.2 billion in the quarter, reflecting:

  • a 7.0% decrease from the impact of M&A, and
  • a 1.5% decrease in organic net sales.

The decrease in organic net sales was driven by a price/mix increase of 0.8% and a volume decrease of 2.3%.

Operating profit for the segment decreased 21.9% to $229 million in the quarter and adjusted operating profit decreased 21.8% to $231 million as productivity was more than offset by lower organic net sales, the negative impact of cost of goods sold inflation, and lost profit from divested businesses.

Refrigerated & Frozen Segment Second Quarter Results
Net sales for the Refrigerated & Frozen segment decreased 6.5% to $1.3 billion in the quarter, reflecting:

  • a 5.1% decrease in organic net sales, and
  • a 1.4% decrease from the impact of M&A.

The decrease in organic net sales was driven by a price/mix decrease of 2.1% and a volume decrease of 3.0%.

Operating loss for the segment was $832 million in the quarter as a result of the non-cash goodwill and brand impairment charges outlined above. Adjusted operating profit decreased 35.6% to $128 million as productivity was more than offset by lower organic net sales, the negative impact of cost of goods sold inflation, unfavorable operating leverage, and lost profit from divested businesses.

International Segment Second Quarter Results
Net sales for the International segment decreased 5.4% to $230 million in the quarter reflecting:

  • a 4.1% decrease from the impact of M&A,
  • a 2.9% decrease in organic net sales, and
  • a 1.6% increase from the favorable impact of foreign exchange.

The decrease in organic net sales was driven by a price/mix increase of 3.5% and a volume decrease of 6.4%.

Operating profit for the segment decreased 21.3% to $32 million in the quarter and adjusted operating profit decreased 18.4% to $32 million as productivity and favorable foreign exchange rates were more than offset by lower organic net sales, the negative impact of cost of goods sold inflation, and lost profit from divested businesses.

Foodservice Segment Second Quarter Results
Net sales for the Foodservice segment decreased 1.3% to $288 million in the quarter, reflecting:

  • a 1.5% decrease from the impact of M&A; and
  • a 0.2% increase in organic net sales.

The increase in organic net sales was driven by a price/mix increase of 4.2% and a volume decrease of 4.0%.

Operating profit and adjusted operating profit for the segment decreased 12.6% to $31 million as higher organic net sales and productivity were more than offset by the negative impact of cost of goods sold inflation and lost profit from divested businesses.

Other Second Quarter Items
Corporate expenses decreased 16.4% to $58 million driven by certain legal matter recoveries and adjusted corporate expenses increased 9.4% to $86 million driven primarily by higher incentive compensation expense compared to the prior year period.

The company realized pension and post-retirement non-service income of $6 million in the quarter compared to $3 million in the prior year period.

In the quarter, equity method investment earnings decreased 33.5% to $32 million and adjusted equity method investment earnings decreased 19.8% to $39 million as results from the company's joint venture, Ardent Mills, were impacted by lower commodity trading revenue.

In the quarter, the effective tax rate was (1.3)% compared to 17.8% in the prior year period which was largely impacted by the non-deductible goodwill impairments mentioned above. The adjusted effective tax rate was 23.5% compared to 22.3% in the prior year period.

Cash Flow and Debt Update
For the first half of fiscal 2026, the company generated $331 million in net cash flows from operating activities compared to $754 million in the prior year period, driven primarily by lower operating profit, increased levels of inventory reflecting inflationary cost increases, and wrapping the accelerated receipt of a portion of the company's outstanding receivables in the prior year. Capital expenditures were $219 million compared to $215 million in the prior year period. Additionally, the company's free cash flow decreased from the prior year period by $426 million to $113 million. Dividends paid were flat to prior year at $335 million.

The company ended the quarter with net debt of $7.6 billion, representing a 10.1% reduction in net debt versus the prior year period, resulting in a 3.83x net leverage ratio at the end of the quarter.

In the quarter, the company paid a dividend of $0.35 per share.

Outlook
The company is reaffirming the following guidance for fiscal 2026:

  • Organic net sales change of (1)% to 1% compared to fiscal 2025
  • Adjusted operating margin between ~11.0% and ~11.5%
  • Adjusted EPS between $1.70 and $1.85

The company now expects its adjusted equity earnings to be approximately $170 million for the fiscal year compared to the prior estimate of approximately $200 million. All other guidance metrics including interest expense, adjusted effective tax rate, pension income, capital expenditures, free cash flow conversion, net leverage ratio, and the adjusted EPS benefit of the 53rd week remain unchanged from what was provided in the company's first quarter fiscal 2026 earnings release.

Included in the above guidance, the company expects cost of goods sold inflation to continue at an elevated level in fiscal 2026. Guidance anticipates core inflation slightly higher than 4%. In addition, the company expects an impact to fiscal 2026 from previously announced U.S. tariffs. While the tariff situation remains fluid, guidance contemplates a 50% tariff rate on imported tin plate steel and aluminum, a 20% rate on limited imports from China, and various country-specific reciprocal rates. Combined, these tariffs are expected to increase cost of goods sold by approximately 3% annually, prior to mitigating actions including accelerated cost savings initiatives, sourcing alternatives, and targeted pricing actions. Taken together, the company expects total cost of goods sold inflation of approximately 7%.

The inability to predict the amount and timing of the impacts of foreign exchange, acquisitions, divestitures, and other items impacting comparability makes a detailed reconciliation of forward-looking non-GAAP financial measures impracticable. For the same reasons, the company is unable to address the probable significance of these items, which could be material to future results. Please see the end of this release for more information.

The following are included in the $1.39 diluted loss per share for the second quarter of fiscal 2026 (EPS amounts are rounded and after tax). Please see the reconciliation schedules at the end of this release for additional details.

  • Approximately $1.88 per diluted share of net expense related to goodwill and brand impairment charges
  • Approximately $0.06 per diluted share of net benefit related to legal matter recoveries
