The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Sept. 23, 2015, and April 18, 2016.

Number of shares:  30 million shares

Purchase price:  five cents per share

Warrants:  15 million share purchase warrants to purchase 15 million shares

Warrant exercise price:  10 cents for a two-year period

Number of placees:  64 placees

Insiders:  Stephen Wilkinson, one million shares; Allan Fabbro, 800,000 shares; Wayne Moorhouse, 240,000 shares; 507784 B.C. Ltd. (Allan Fabbro), 200,000 shares

Aggregate pro group involvement  2,775,000 shares (four placees)

Finders' fee:  Canaccord Genuity Corp., $41,360 cash and 827,200 warrants payable; Haywood Securities Inc., $8,000 cash and 160,000 warrants payable; Foster & Associates Financial Services, $4,200 cash and 84,000 warrants payable; each warrant is exercisable into one share at 10 cents for two years from closing

Pursuant to Corporate Finance Policy 4.1, Section 1.11(d), the company must issue a news release announcing the closing of the private placement and setting out the expiry dates of the hold period(s). The company must also issue a news release if the private placement does not close promptly. Note that in certain circumstances the exchange may later extend the expiry date of the warrants if they are less than the maximum permitted term.
