The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced on Nov. 2, 2016.

Number of shares:  10 million common shares

Purchase price:  40 cents per share

Number of placees:  16 placees

Insider:  Metaform Investments Mining LP, 98,000 shares

Aggregate pro group involvement:  1,707,607 shares (one placee)

Agents' fees:  An aggregate of $237,024, plus 592,560 broker warrants (each exercisable into one common share at a price of 40 cents for a two-year period), is payable to Beacon Securities Ltd., Echelon Wealth Partners Inc. and Dundee Securities Ltd.

Pursuant to Corporate Finance Policy 4.1, Section 1.11(d), the company has issued a news release announcing the closing of the private placement and setting out the expiry dates of the hold period(s). Note that in certain circumstances the exchange may later extend the expiry date of the warrants if they are less than the maximum permitted term.
