The Toronto Stock Exchange reports that SNC-Lavalin Group Inc. subscription receipts will be listed at 5:01 p.m. on April 26, 2017, for trading at the open on April 27, 2017. According to the TSX, the subscription receipts will trade under the symbol SNC.R and Cusip No. 78460T 11 3.

As stated in its April 24, 2017, prospectus supplement, SNC-Lavalin will issue 15.55 million subscription receipts at $51.45 per subscription receipt in a public offering. Each subscription receipt will entitle the holder to receive automatically and without additional payment, upon the closing of the WS Atkins PLC acquisition, one share of the company, together with an amount per subscription receipt equal to the amount per share of any dividends for which record dates have occurred during the period from the date the offering is completed to the date immediately preceding the closing date of the acquisition, less any applicable withholding taxes. The TSX reports that if the acquisition fails to close before the termination time, the holders of the subscription receipts will be entitled to receive the total issue price of the subscription receipts, plus the pro rata share of an amount equal to the earned interest, less any applicable withholding taxes. No dividend equivalent payment will be made to holders of the subscription receipts if a termination event occurs.

According to the TSX, the subscription receipts will trade until the earlier of the completion of the acquisition or a termination event. The exchange will issue a further bulletin to confirm the delisting of the subscription receipts.
