STONEHAVEN ANNOUNCES PRIVATE PLACEMENT OF $3.4 MILLION OF FLOW-THROUGH SHARES

Stonehaven Exploration Ltd. is undertaking a private placement offering of 2,267,000 common shares of the company to be issued on a flow-through basis at a price of $1.50 per flow-through share, resulting in gross proceeds of $3,400,500.

The gross proceeds of the flow-through shares will be used by the company to incur eligible Canadian exploration expenses prior to Dec. 31, 2015. The company will renounce the qualifying expenditures to subscribers of the flow-through shares for the fiscal year ended Dec. 31, 2014.

The offering is subject to certain conditions, including but not limited to, the receipt of all necessary regulatory approvals, including the approval of the TSX Venture Exchange. Closing of the offering is expected to occur on or about Dec. 19, 2014. All flow-through shares issued pursuant to the offering will be subject to a four-month hold period. Certain arm's-length eligible persons may receive a cash fee in connection with the offering of up to 4 per cent of the gross proceeds of the sale of the flow-through shares.
