The TSX Venture Exchange has accepted for filing documentation pertaining to an asset purchase agreement dated Dec. 17, 2014, between theScore Inc. and two arm's-length parties whereby the company will acquire substantially all of the assets of ApptheGame Inc., a California-based company engaged in the business of the development and operation of fantasy sports related software applications for web and mobile platforms.

The proposed purchase price of $1.7-million (U.S.) will be satisfied by total cash payments of up to $816,667 (U.S.) and the issuance of 2,208,333 Class A subordinate voting shares at a deemed value of 40 U.S. cents per share.
