The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced Oct. 30, 2017, and Nov. 2, 2017.

Number of shares:  12.5 million shares

Purchase price:  40 cents per share

Warrants:  6.25 million share purchase warrants to purchase 6.25 million shares

Warrant exercise price:  60 cents for a two-year period

Number of placees:  87 placees

Total pro group involvement:  315,000 (five placees)

Agents' fees:  $17,000 cash, 42,500 warrants and 31,250 units payable to Beacon Securities Ltd.; $161,500 cash, 403,750 warrants and 296,875 units payable to Canaccord Genuity Corp.; $161,500 cash, 403,750 warrants and 296,875 units payable to Gravitas Securities Inc. (The agents' warrants are exercisable at 40 cents per unit with an expiry date of Nov. 2, 2019, and the units are under the same terms as those to be issued pursuant to the private placement.)
