Mr. Ross Beaty, investor, reports

Pursuant to National Instrument 62-103, The Early Warning System and Related Takeover Bid and Insider Reporting Issues, on July 22, 2014, Ross J. Beaty, of 1550, 625 Howe St., Vancouver, B.C., V6C 2T6, acquired ownership of 26,386,667 common shares of Odin Mining and Exploration Ltd., in reliance on the accredited investor exemption set out in Section 2.3 of NI 45-106, Prospectus and Registration Exemptions. The purchase price was 5.2418227 U.S. cents (5.625 cents) per common share for a total purchase price of $1,383,142.30 (U.S.) ($1,484,250). The common shares purchased by Mr. Beaty represent approximately 22.1 per cent of the total number of issued and outstanding common shares of Odin.

As a result of this transaction, Mr. Beaty now owns, directly or indirectly, or exercises control or direction over, 26,386,667 common shares of Odin, representing approximately 22.1 per cent of the total number of issued and outstanding common shares of Odin.

Mr. Beaty's acquisition was made for investment purposes. Mr. Beaty may, in the future, acquire ownership and control over additional securities of Odin for investment purposes.

A Canadian-dollar translation of U.S.-dollar amounts is provided using the Bank of Canada noon exchange rate on June 23, 2014 (the day the transaction was announced) of $1 (U.S.) to $1.0731.
