The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Aug. 10, 2015.

Number of shares:  2,655,000 shares

Purchase price:  $1 per share

Warrants:  1,327,500 share purchase warrants to purchase 1,327,500 shares

Warrant exercise price:  $1.50 for an 18-month period, subject to an accelerated expiry

Number of placees:  38 placees

Insider:  Troy Bullock, 17,500; Dickson Hall, 10,000

Total pro group involvement:  305,000 (four placees)

Finder's fee:  $21,700 payable to Mackie Research Capital Corp.

The company issued a news release on Aug. 26, 2015, confirming closing of the private placement. Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
