The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Sept. 10, 2014.

Convertible debenture:  $50,000

Conversion price:  Convertible into common shares at five cents of principal outstanding per share in the first year and 10 cents per share in the second year

Maturity date:  Sept. 16, 2016

Warrants:  One million share purchase warrants attached to purchase one million shares

Warrant exercise price:  Seven cents for a two-year period

Interest rate:  12 per cent per year

Number of placees:  One placee
