The TSX Venture Exchange has accepted for filing the company's proposal to amend a credit agreement with Shadow Tree Capital Management, through Shadow Tree Income Fund A LP, in the principal amount of $4,954,223.

The loan and other outstanding obligations shall continue to bear interest at a rate equal to 8 per cent per year.

As consideration to the lender for amending the credit facility available to the company, the lender will receive three million common shares with a deemed price of 12 cents.

Lender:  Shadow Tree Income Fund A LP, three million

The company will issue a news release once the shares have been issued.
