The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced March 3, 2015, and March 23, 2015.

Number of shares:  21.67 million shares

Purchase price:  60 cents per share

Warrants:  21.67 million share purchase warrants to purchase 21.67 million shares

Warrant exercise price:  75 cents for a three-year period, subject to an accelerated expiry

Number of placees:  53 placees

Total pro group involvement:  13,918,267 (15 placees)

Agents' fees:  $483,674 payable to GMP Securities Ltd.; $111,167 payable to CIBC World Markets Inc.; $111,167 payable to Mackie Research Capital Corp.; $74,111 payable to Dundee Securities Corp.

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
