Pursuant to a directors' resolution dated Aug. 9, 2017, it was resolved that:

• The company's common shares will be subdivided on a 1.25-new-for-one-old basis.
• The company's name will be changed from Jaxon Minerals Inc. to Jaxon Mining Inc.

Effective at the opening, Aug. 30, 2017, the common shares of Jaxon Mining will commence trading on the TSX Venture Exchange on a subdivided basis, and the common shares of Jaxon Minerals will be delisted.

The company is classified as a mineral exploration development company.

Letters of transmittal will be used to effect this share subdivision. Letters of transmittal were mailed to shareholders to return their present share certificates in exchange for new share certificates.
