The TSX Venture Exchange has accepted for filing a binding share purchase option agreement dated Feb. 24, 2017, and as amended in an amending agreement dated April 25, 2017, between Invictus MD Strategies Corp., and Trevor Dixon, Brenda Dixon and Acreage Pharms Ltd., whereby the company has purchased an undivided 100-per-cent interest in all the issued and outstanding shares of Acreage Pharms. Acreage Pharms is a licensed producer of Cannabis under the access to cannabis for medicinal purposes regulations.

In order to acquire its interest in Acreage Pharms, the company paid $6-million cash, issued 20 million common shares in the company and issued three million warrants. The warrants have an exercise price of $1.50 per warrant, and one-third of the warrants will expire every six months from the anniversary of closing.
