The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Oct. 22, 2014.

Number of shares:  7.5 million shares

Purchase price:  10 cents per share

Warrants:  7.5 million share purchase warrants to purchase 7.5 million shares

Warrant exercise price:  20 cents for a one-year period

Number of placees:  16 placees

Insiders:  Special Situations Life Sciences Fund L.P., 1.4 million; David Wolf, 375,000; Michael Bruns, 95,000

Total pro group involvement:  75,000 (one placee)

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
