GWR Resources Inc. must pay a $55,000 finder's fee to Ronnie Birch, a then-employee who helped the company raise $1.8-million in 2011, a judge in the Supreme Court of British Columbia has ruled. The judge has found that Mr. Birch expended a meaningful amount of time and effort to bring in the investment. He did this in addition to his work as an investor relations person for GWR.
The decision, handed down in New Westminster on Jan. 27, 2016, comes many years after Mr. Birch first became associated with GWR. As far back as 2006 he had been helping the company raise money, and had been a shareholder as well. At some point in 2010, he had a conversation with a director of the time, Irvin Eisler, in which Mr. Eisler told him that the company was looking for financing to develop its Lac La Hache property. As part of that conversation, Mr. Eisler told Mr. Birch to "find us some money and we'll look after you."
Mr. Birch took this to mean that he would receive a finder's fee if he introduced investors to the company. He then spoke with several of his contacts, including somebody who would later become an employee of MacQuarie Capital Markets. He tried to arrange a meeting to discuss a financing.
