The TSX Venture Exchange has accepted for filing the company's proposal to issue 22,333,330 units (each unit comprising one common share and one share purchase warrant) to settle outstanding debt for $2,233,333.

Warrants:  22,333,330 share purchase warrants to purchase 22,333,330 shares

Warrant exercise price:  20 cents for a three-year period
