The TSX Venture Exchange has accepted for filing documentation with respect to an amendment to a non-brokered private placement announced Jan. 29, 2018.

Convertible debenture:  $1.5-million

Conversion price:  convertible into 10,714,285 common shares at 14 cents per share of principal outstanding with an expiry date of March 31, 2019 (previously convertible at 55 cents per share with an expiry date of Jan. 27, 2018)

Maturity date:  March 31, 2019

Interest rate:  6 per cent per annum

Number of placees:  one placee
