CARDIFF ENERGY CORP. ANNOUNCES THE CLOSING OF ITS OVERSUBSCRIBED PRIVATE PLACEMENT

Cardiff Energy Corp. has closed its oversubscribed 7.78-million-unit private placement previously announced on Feb. 5, 2016. Each unit comprises one common share priced at five cents per share and one common share purchase warrant. Each warrant entitles the holder to purchase one additional common share for 7.5 cents during the next two years. Participants in this private placement will have a four-month hold period on their securities.

Insiders of the company subscribed for three million units: Greg Campbell subscribed for one million units, Jatinder (Jack) Bal subscribed for one million units, Steven Froese subscribed for 500,000 units and 3 Stones Explorations Inc. (Derek Stonehouse) subscribed for 500,000 units.
