COLONIAL COMPLETES ACQUISITION OF TUYA ENERGY INC.

Colonial Coal International Corp. has completed the previously announced plan of arrangement, pursuant to which Colonial has, by way of an amalgamation between Tuya Energy Inc. and a wholly owned subsidiary of Colonial, acquired all of the issued and outstanding common shares of Tuya.

The arrangement was approved by shareholders of Colonial and Tuya at their respective shareholder meetings held on March 19, 2015. Final approval for the arrangement was obtained from the Supreme Court of British Columbia on March 26, 2015.

The arrangement

Under the arrangement, each Tuya share was exchanged for 0.5 of a common share of Colonial.
