The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced March 4, 2016.

Convertible debenture:  $350,000 (U.S.), or $472,500 (Canadian)

Conversion price:  convertible into units consisting of one common share and one common share purchase warrant at 7.5 Canadian cents of principal outstanding in year one and at 10 cents in year two

Maturity date:  nine months from the closing date

Warrants:  Each warrant will have a term of five years from the date of issuance of the notes and entitle the holder to purchase one common share. The warrants are exercisable at the price of 7.5 Canadian cents for the five-year term.

Interest rate:  10 per cent

Placees:  one
