TERMINATION OF QUALIFYING TRANSACTION

Further to the news release dated June 27, 2014, and Dec. 23, 2014, the letter agreement dated June 26, 2014, entered into by Bluerock Ventures Corp. and Rush Valley Gold Corp., and the amending agreement dated Dec. 19, 2014, to extend the closing date to complete Bluerock's qualifying transaction, have been terminated due to unfavourable current market conditions.

Bluerock will be applying to the exchange for trading in its shares to resume.

The company will continue to identify and evaluate businesses and assets with a view to completing a qualifying transaction.
