The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced July 24, 2017.

Number of shares:  400,000 shares

Purchase price:  50 cents per share

Warrants:  400,000 share purchase warrants to purchase 400,000 shares

Warrant exercise price:  50 cents for a two-year period

Number of placees:  seven placees

Insider:  Patrick Vink, 60,000

Total pro group involvement:  270,000 (three placees)

Finder's fee:  $5,000 in cash and 10,000 finder's warrants payable to Francis Pope (Each finder's warrant entitles the holder to acquire one common share at 50 cents for a two-year period.)

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
