Purchase price:  five cents per share

Warrants:  one million share purchase warrants to purchase one million shares

Warrant exercise price:  five cents for a five-year period

Placee:  one

Finder's fee:  $3,500 in cash and 80,000 finders' warrants payable to IBK Capital Corp.; each finder's warrant entitles the holder to acquire unit at five cents for a five-year period
