VODIS PHARMACEUTICALS INC. ANNOUNCES $250,000 NON-BROKERED FINANCING

Vodis Pharmaceuticals Inc. has arranged a non-brokered private placement offering of up to 2.5 million units of the company at a subscription price of 10 cents per unit for aggregate gross proceeds of $250,000.

The offering is subject to certain conditions, including, but not limited to, the receipt of all necessary regulatory approvals. Each unit shall consist of one common share of the company and one share purchase warrant. Each whole warrant will entitle the holder to purchase one common share of the company at a price of 15 cents for a period of 24 months following the closing date of the offering.

Once resale restrictions have expired and the company's shares have traded for 10 consecutive trading days above $1.00, Vodis may give notice that the warrants will expire within 30 days from the day of providing notice through a news release.

In addition, the company will pay a finder's fee in accordance with the regulatory guidelines.

The proceeds of the private placement will be used for expansion into Washington state, United States, and general working capital purposes.
