The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced Oct. 23, 2018.

Convertible debenture:  $720,000 (Canadian) principal amount

Conversion price:  convertible into common shares at 24 cents of principal amount outstanding per share until maturity

Maturity date:  Oct. 23, 2021

Interest rate:  8 per cent per annum

Number of placees:  two placees

Agent's fees:  An aggregate of $57,600 in cash and 240,000 broker warrants payable to Leede Jones Gable Inc. Each broker's warrant entitles the holder to acquire one common share at 24 cents until Oct. 23, 2020.
