UGE ANNOUNCES CLOSING OF PRIVATE PLACEMENT OF UNITS

UGE International Ltd. completed a non-brokered private placement of 4,053,333 units today, with each such unit consisting of one common share in the capital of the company and half of one common share purchase warrant at an issuance price of 15 cents per unit for aggregate gross proceeds of $608,000. Each unit warrant entitles the holder to purchase one common share at an exercise price of 20 cents per share for a period of 24 months from the date of issuance.

Certain finders of purchasers in the offering were entitled to receive a cash commission equal to 6 per cent of the gross proceeds from subscribers sourced by such finders, as well as finders' warrants equal to 6 per cent of the number of units sourced by such finders, resulting in the payment by the company of $6,480 and the issuance of 43,200 finders' warrants today. Each finder's warrant entitles the holder thereof to purchase one common share of the company at an exercise price of 20 cents per share for a period of 24 months from the date of issuance.

All of the securities issued by the company pursuant to the offering are subject to a hold period equal to four months and one day from the date of issuance.
