TOSCA RESOURCES ANNOUNCES CLOSE OF PRIVATE PLACEMENT FINANCING

Tosca Resources Corp. has closed on a private placement (previously announced on Jan. 12, 2015) of 3.31 million units at a price of five cents per unit for total gross proceeds of $165,500. Each unit consisted of one common share and one-half share purchase warrant. Each whole warrant is exercisable into one common share at a price of 10 cents per share for a period of one year, expiring Jan. 14, 2016. The shares forming part of the units and any shares acquired on exercise of the warrants are subject to restrictions on resale until May 15, 2015. There were no finders' fees payable in respect of the placement.
