Purchase price:  21 cents per share

Warrants:  4,485,476 share purchase warrants attached to purchase 4,485,476 shares

Warrant exercise price:  30 cents for an 18-month period

Number of placees:  17 placees

Total pro group involvement:  1,430,476 (two placees)

Finders' fees:  an aggregate of 292,633 finders' shares, plus 292,633 finders' warrants (each exercisable into one common share at a price of 30 cents for an 18-month period), payable to Primary Capital Inc., Echelon Wealth Partners Inc. and Haywood Securities Inc.
