The TSX Venture Exchange has accepted for filing the documentation with respect to a brokered private placement as announced on Dec. 6, 2017.

Number of shares:  12,243,000 common shares and 3,358,600 flow-through common shares

Purchase price:  70 cents per common share and 85 cents per flow-through common share

Warrants:  6,121,500 warrants to purchase a maximum of 6,121,500 common shares

Warrant exercise price:  90 cents per share for a period of 24 months following the closing of the private placement

Number of placees:  21 placees

Insiders:  Kirkland Lake Gold, 1,915,000; Wexford Capital LP, 1.98 million; Anik Gendron, 20,000; Michel Fontaine, 10,000; James Fairbairn, 40,000

Finders' fees:  Red Cloud Klondike Strike and Sprott Capital Partners received 6 per cent of gross proceeds in cash.

The company has confirmed the closing of the private placement by way of press releases dated Dec. 28, 2017, and Feb. 27, 2018.
