The TSX Venture Exchange has accepted for filing the documentation with respect to a non-brokered private placement, announced on Dec. 23, 2010.

Shares:  2.75 million

Price:  40 cents

Warrants:  1,375,000 warrants to purchase 1,375,000 common shares

Exercise price:  50 cents over the 18 months following the closing of the private placement

Hidden placees:  four

The company has confirmed the closing of the above-mentioned private placement by way of a news release.
