The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Sept. 6, 2017.

Number of shares:  2,175,000 shares

Purchase price:  10 cents per share

Warrants:  2,175,000 share purchase warrants to purchase 2,175,000 shares

Warrant initial exercise price:  15 cents

Warrant term to expiry:  two years

Number of placees:  three placees

Finder's fee:  Intergral Wealth Securities Ltd., $16,000 cash

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
