Conversion price:  convertible into units at eight cents until maturity (Each unit consists of one common share and one common share purchase warrant.)

Warrants:  Each warrant is exercisable into one common share at 12 cents for a period of two years.

Maturity date:  one year from issuance

Interest rate:  10 per cent per annum
