GOLD STANDARD CLOSES US$8.9 MILLION PUBLIC OFFERING

Gold Standard Ventures Corp. has closed its previously announced public offering of 19,032,000 common shares of the company, including 2,032,000 common shares issued on partial exercise of the overallotment option, at a price of 47 U.S. cents (58 cents) per common share for gross proceeds of approximately $8.9-million (U.S.) (approximately $11-million). The offering was undertaken by a syndicate of underwriters led by Macquarie Capital Markets Canada Ltd. and including H.C. Wainwright & Co. LLC.

The company filed a final prospectus supplement dated Jan. 28, 2015, to its short form base prospectus dated June 23, 2014, with the securities regulators in each of British Columbia, Alberta and Ontario and a final prospectus supplement dated Jan. 28, 2015, to a related registration statement on Form F-3 (Registration No. 333-196751) with the U.S. Securities and Exchange Commission.

The company intends to use the net proceeds of this offering (after deduction of underwriters' fee and expenses of the offering) to pay the balance due to Scorpio Gold Corp. in connection with the company's acquisition of the Pinion deposit, finance additional drilling and exploration of the company's Pinion project as recommended in the Pinion technical report dated Oct. 24, 2014, conduct further exploration on the Railroad project, rectify the company's current working capital deficiency, and for general corporate and working capital purposes.

H.C. Wainwright & Co. has only made offers and sales of the common shares in the United States. FCMI Parent Co., a shareholder of the company, participated in the offering.

On Jan. 27, 2015, the last trading day before filing of the final prospectus supplement, the noon exchange rate as reported by the Bank of Canada for the conversion of Canadian dollars into U.S. dollars was $1 (Canadian) to 80.62 U.S. cents.
