The TSX Venture Exchange has consented to the amendment of the following convertible debenture.

Convertible debenture:  $50,000 principle amount of unsecured convertible debentures

Conversion price:  Convertible into Class A shares at 11 cents of principal amount outstanding per share until maturity

Original maturity date:  Feb. 13, 2014

Amended maturity date:  Aug. 13, 2014

Interest rate:  15 per cent per year

The convertible debenture was issued pursuant to a private placement which was originally accepted for filing by the exchange effective Aug. 16, 2013.
