The TSX Venture Exchange has accepted for filing documentation pertaining to a share purchase agreement dated Aug. 14, 2013, between Gemoscan Canada Inc., and certain arm's-length and non-arm's-length parties, whereby the company has agreed to acquire all of the issued and outstanding shares of Physiomed Kennedy Inc. (PKI), an Ontario-based corporation that operates a paramedical clinic in Scarborough, Ont.

The proposed purchase price of $935,510 will be satisfied by a $205,000 cash payment, a $374,204 secured debenture, $268,602 of unsecured promissory notes and 797,309 Class A shares at a deemed value of 11 cents per share.
