The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Aug. 14, 2013.

Convertible debentures:  $200,000 principle amount of secured convertible debentures and $50,000 principle amount of unsecured convertible debentures

Conversion price:  Convertible into Class A shares at 11 cents of principal amount outstanding per share until maturity

Maturity date:  One year from closing ($200,000) and six months from closing ($50,000)

Interest rate:  10.75 per cent per year ($200,000) and 15 per cent per year ($50,000)

Number of placees:  One placee
