FERONIA ANNOUNCES AMENDMENTS TO 2012 DEBENTURES

Feronia Inc. has obtained the consent by extraordinary resolution of the holders of its 12 per cent convertible unsecured subordinated debentures issued in 2012 to certain amendments to the trust indenture entered into between the company and TSX Trust dated July 24, 2012, as amended and supplemented from time to time.

The amendments include reducing the conversion price of the debentures to 27.5 cents per share, extending the maturity date until July 24, 2022, and adding a provision that will further adjust the conversion price and effective rate of interest of the debentures if a subsequent series of debentures or other debt is issued with more favourable terms on or before Dec. 31, 2017. The company has agreed to pay certain investment advisers a solicitation fee equal to 5 per cent of the aggregate principal amount of debentures represented by the consent.

The amendments are subject to the approval of the TSX Venture Exchange.
