The TSX Venture Exchange has accepted for filing documentation with respect to the first tranche of a non-brokered private placement announced July 7, 2011:

Number of shares:  9,558,333 shares

Purchase price:  15 cents per share

Warrants:  4,779,166 share purchase warrants to purchase 4,779,166 shares

Warrant exercise price:  20 cents for a two-year period

If the volume-weighted average trading price is greater than 30 cents for 15 consecutive trading days at any time after four months and one day after closing, the company may, upon giving notice to the warrantholder, shorten the expiry date of the warrants to 30 days from the date of notice.

Number of hidden placees:  41 hidden placees
