The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced March 12, 2018, and June 20, 2018.

Number of shares:  3,510,315 shares

Purchase price:  35 cents per share

Warrants:  1,755,157 share purchase warrants to purchase 1,775,157 shares

Warrant exercise price:  60 cents for a three-year period

Number of placees:  16 placees

Total pro group involvement:  180,000 (three placees)

Finders' fees:  Leede Jones Gable Inc., $5,250 cash and 15,000 finder's warrants; Echelon Wealth Partners Inc., $1,260 cash and 3,600 finder's warrants (Each non-transferable finder's warrant is exercisable into one common share of the company at a price of 60 cents for a period of three years.)
