The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Oct. 15, 2018.

Number of shares:  2.28 million shares

Purchase price:  50 cents per share

Warrants:  1.14 million share purchase warrants to purchase 1.14 million shares

Warrant exercise price:  70 cents for a two-year period

Number of placees:  four placees

Finders' fees:  $79,800 and 159,600 agents' options payable to Pathfinder Asset Management and Echelon Wealth Partners Inc.
