CANADA STRATEGIC METALS ANNOUNCES C$2.5 MILLION MARKETED PRIVATE PLACEMENT OF FLOW-THROUGH COMMON SHARES

Canada Strategic Metals Inc. has entered into an agreement with Canaccord Genuity Corp., pursuant to which Canaccord will act as agent in connection with a proposed fully marketed private placement to raise gross proceeds of approximately $2.5-million. The offering will consist of the sale of 14.3 million flow-through common shares of the company at a price of 17.5 cents per flow-through share.

The gross proceeds raised from the sale of flow-through shares will be used to incur Canadian exploration expenses as defined in the Income Tax Act (Canada) on the company's properties in Quebec. The qualifying expenditures will be renounced to the subscribers with an effective date no later than Dec. 31, 2017, in the aggregate amount of not less than the total amount of the gross proceeds raised from the offering.

The underwriter will receive a cash commission of 8 per cent of the gross proceeds raised and non-transferable share purchase warrants entitling the underwriter to purchase, at the price of the offering within 24 months after closing of the offering, common shares equal to 8 per cent of the aggregate number of securities sold pursuant to the offering.

Closing of the offering is anticipated to occur on or about March 9, 2017. Closing of the offering is subject to receipt of regulatory approvals, including the acceptance of the offering by the TSX Venture Exchange. The flow-through shares will be subject to a four-month hold period under applicable securities laws in Canada.
