PRIVATE PLACEMENT FINANCING COMPLETED

Baroyeca Gold & Silver Inc. has completed its non-brokered private placement announced on Aug. 18, 2017, having sold 5.1 million shares of its capital stock at one cent per share and raising a total of $51,000 of working capital for the company.

The proceeds from the private placement will be used to pay outstanding accounts payable, general and administrative expenses, and continuing operating costs for the company.

The shares issued pursuant to the private placement bear a legend restricting them from trading until Feb. 27, 2018.
