BENTON COMPLETES SALE OF CAPE RAY PROJECT FOR A$5.25 MILLION IN CASH AND SHARES

Benton Resources Inc. has completed the sale of its 80-per-cent interest in the Cape Ray gold project to Matador Mining Ltd. of Western Australia. Under the purchase agreement, Benton Resources received a total of $3.25-million (Australian) and eight million common shares of Matador Mining (based on an underlying value of 25 Australian cents per share for a total consideration of $5.25-million (Australian)). The company also received 833,333 options exercisable at a price of 30 Australian cents per share for a period of two years following the date of issuance.

Benton Resources has now transferred title and its interest in all mineral licences contained within the agreement. In addition, Benton Resources will retain a 1-per-cent NSR (net smelter returns royalty) on its 100-per-cent-owned Cape Ray mineral licences -- more specifically, those licences that contain no other underlying NSRs that are included in the agreement. Matador Mining will have the right to buy back 50 per cent of this NSR by paying to Benton $1-million (Australian). Matador Mining will assume all other underlying NSRs associated with the 04/41/51/Windowglass Hill/Big Pond/Isle aux Morts deposit claim packages. Benton Resources has also agreed to enter into a voluntary escrow agreement for 75 per cent of the consideration shares, whereby Benton Resources will not trade these shares for the first six months following their issuance. Benton Resources also agrees not to trade the remaining 25 per cent of the consideration shares, unless such trading is conducted through a controlled sale arranged by Matador Mining's appointed broker or as otherwise agreed to by Benton Resources and Matador Mining.
