BCE ANNOUNCES CDN $750-MILLION BOUGHT-DEAL OFFERING

BCE Inc. has entered into an agreement with a syndicate of underwriters led by BMO Capital Markets and RBC Capital Markets, together with CIBC World Markets, National Bank Financial and TD Securities, under which the underwriters have agreed to buy, on a bought-deal basis, 13.14 million common shares, at a price of $57.10 per common share for gross proceeds of $750,294,000. BCE has granted the underwriters an option, exercisable at the offering price for a period of 30 days following the closing of the offering, to purchase up to an additional 15 per cent of the offering to cover overallotments, if any. Should the overallotment option be fully exercised, the total gross proceeds of the offering will be $862,838,100. The offering is expected to close on or about Dec. 11, 2015, and is subject to all necessary regulatory approvals.

The net proceeds of the offering will be used for general corporate purposes, including reducing financial leverage.

The common shares will be offered by way of a short-form prospectus in all of the provinces of Canada and may also be offered by way of private placement in the United States.
